Nutrify360^TM Mastery Program: Terms & Conditions and Disclaimer

Please read these Terms and Conditions ("Terms") carefully before enrolling in the Nutrify360^TM Program ("Program"), operated by Thriving Zen Nutrition and Wellness LLC ("Provider," "we," "us," or "our"). By enrolling in this Program, you agree to be bound by these Terms and our Privacy Policy.

1. Professional Disclaimer & Scope of Service

1.1 Educational and Coaching Nature The Nutrify360^TM Program, including all course materials and the Nutrify360^TM Journey Blueprint workbook, is designed for educational and health coaching purposes only.

1.2 Registered Dietitian & Coach Disclaimer Zen Huynh (the Provider) is a Registered and Licensed Dietitian Nutritionist (RDN) and Certified Health & Wellness Coach (CHWC). Participation in this Program does not create a patient-provider relationship. The information provided does not constitute medical advice, medical nutrition therapy, diagnosis, or treatment. The Nutrify360^TM Program is a population-health educational program and does not constitute Medical Nutrition Therapy (MNT) for specific disease states. If you require individualized MNT, please consult a clinical dietitian in your local jurisdiction for one-on-one care.

• Medical Consultation: You are required to consult with your physician before making changes to your diet, supplements, or lifestyle.
• Mental Health: This Program includes mindset coaching but is not a substitute for professional mental health therapy. Please refer to a licensed therapist for trauma or clinical emotional distress as needed.
• Exercise & Physical Activity: The Provider provides strategies for Mindful Movement and lifestyle pacing. This does not constitute an exercise prescription or physical therapy. Please refer to a trained and qualified professional, such as an Exercise Physiologist, Physical Therapist, or Certified Personal Trainer, to develop a personalized exercise plan that is safe for their specific clinical needs. You assume all risk for physical activity undertaken during the Program.

1.3 Limitation of Liability The Provider makes no guarantees regarding specific health outcomes. Individual results vary based on personal health status and implementation. You agree that the Provider is not liable for any health changes or lack thereof resulting from your participation.

2. Enrollment, Pricing, and Payment Terms

2.1 August 2026 Foundation Cohort You are enrolling in the Nutrify360^TM 2026 Foundation Cohort. Full Program access begins on August 1, 2026.

2.2 Payment Options:

• Option 1: Pay In-Full: A one-time payment of $747 USD (Founder’s Rate). This grants immediate confirmation and full access to all materials upon the August 1st launch.
• Option 2: Founder’s Deposit (Payment Plan): An initial non-refundable deposit of $49 USD to secure your seat and Founder’s Pricing. The remaining balance of $748 USD will be automatically charged on August 1, 2026.

2.3 Failed Payments If the August 1st balance charge fails, we will attempt to re-process the payment for 72 hours. If unsuccessful, your enrollment will be cancelled and the $49 deposit forfeited.

3. Refund Policy (Data-Driven Guarantee)

3.1 The Two-Tier Refund Window To provide a risk-free start while protecting our proprietary clinical assets, we offer the following refund schedule starting from the August 1, 2026 launch date:

1.  Days 1–7 (Full Refund): You may request a 100% refund for any reason—no questions asked—provided you meet the Consumption Limit in Section 3.2.
2.  Days 8–14 (Partial Refund): You may request a refund of your total investment minus a $150 non-refundable digital license and administrative fee, provided you meet the Consumption Limit in Section 3.2.

3.2 The 25% Consumption Limit To protect the integrity of the clinical protocols and the proprietary Nutrify360^TM Journey Blueprint, refunds (Full or Partial) are only available if no more than 25% of the total course content has been consumed/accessed as tracked by the Program platform.

3.3 Request Process All refund requests must be emailed to [email protected] within the applicable refund window. Requests made after August 14, 2026, or requests where consumption exceeds 25%, will not be granted.

4. Intellectual Property and Access

4.1 Personal Use License Your enrollment grants you a non-transferable, non-exclusive license for personal use only.

4.2 Content Restrictions You may not copy, share, distribute, or sell any part of the course content, including the Nutrify360^TM Journey Blueprint or video lessons. Sharing login credentials with third parties is strictly prohibited.

4.3 Lifetime Access "Lifetime Access" refers to the life of the Program. Should the Provider choose to retire the Program, you will be given 30 days' notice to download all available PDF and worksheet materials.

5. Termination

We reserve the right to terminate or suspend your access to the Program immediately, without prior notice or liability, if you breach these Terms. Upon termination, your right to use the Program will immediately cease.

6. Communication Consent & Preferences

6.1 Consent to Receive Communications By enrolling in the Program, you provide your express consent to receive electronic communications from the Provider. These include, but are not limited to:

• Transactional Emails (i.e., onboarding instructions, payment receipts, and program updates).
• Educational Content and cohort-specific guidance.
• Promotional Announcements (i.e., information regarding future intensives, new resources, or related services from Thriving Zen).

6.2 Communication Standards & Boundaries We value your digital "Nervous System Safety." We strive to ensure all communications are intentional and high-value.

• Response Times: Our team operates on a "Zen Schedule" to prioritize nervous system safety and deep work. We respond to inquiries within 48 business hours, Monday–Thursday.
• Unsubscribe Rights: You may opt out of promotional emails at any time by clicking the "Unsubscribe" link at the bottom of our emails. However, please note that opting out of all communications may result in you missing vital transactional updates regarding your August 2026 enrollment and access links.

6.3 Data Privacy Your contact information is stored securely and will never be sold or shared with third parties for marketing purposes. Our use of your data is governed strictly by our Privacy Policy.

7. "No Guarantees" & Earnings Disclaimer

7.1 No Health Guarantees While Nutrify360^TM is grounded in evidence-based nutrition and mindset strategies, the Provider does not guarantee that you will experience specific health improvements. Biological responses to nutrition and lifestyle changes are highly individual.

7.2 Responsibility for Implementation You acknowledge that your success in the Program depends on your own physical condition, consistency, and follow-through. The Provider is not responsible for any lack of results due to non-compliance or individual biological resistance to the strategies provided.

8. Technical Requirements & "Acts of God" (Force Majeure)

8.1 Tech Responsibility You are responsible for ensuring you have the necessary hardware and internet connection to access the Program.

8.2 Service Interruptions We strive for 100% uptime, but we are not liable for temporary access delays caused by third-party platforms (e.g., Kajabi, Zoom, or your email provider).

8.3 Force Majeure We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to: natural disasters, pandemics, or widespread internet outages.

9. Dispute Resolution (Governing Law)

9.1 Governing Law These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions.

9.2 Mediation First In the event of a dispute, both parties agree to attempt to resolve the matter through good-faith mediation before pursuing any legal action.
